Terms of Service

1.Introduction and Acceptance

These Terms of Service ("Terms") govern your use of Valid8.ae ("Platform") as a licensed real estate agent, brokerage staff, property developer representative, or authorised user. The Platform is operated by FIKA TECHNOLOGIES - FZCO, a free zone company registered under the laws of the United Arab Emirates, holding Trade Licence No. 10731, under the authority of the Dubai Integrated Economic Zones Authority (DIEZ).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.

2.Definitions

  • "Platform" refers to Valid8.ae, including all web applications, APIs, AI features, edge functions, and related services.
  • "User" refers to Agents, Company Owners, Developers, Data Mappers, and other authorised brokerage or developer staff accessing the Platform.
  • "Agent" refers to a licensed real estate agent or broker registered with relevant UAE authorities, using the Platform to manage off-plan and secondary property transactions.
  • "Company Owner" refers to the owner or principal of a real estate brokerage with company-wide access to the Platform.
  • "Developer" refers to an authorised representative of a property development company with restricted, project-scoped access to relevant Off-Plan case data.
  • "Buyer" and "Seller" refer to the parties to a property transaction whose data is managed through the Platform by an Agent.
  • "Content" refers to all data, documents, text, and materials uploaded to or generated by the Platform.

3.Eligibility

Agents and Company Owners: You must be at least 18 years of age and hold a valid professional licence issued by a competent UAE authority (including but not limited to RERA, DED, ADREC, or equivalent free zone authority) to register for an Agent or Company Owner account. By registering, you represent and warrant that you hold all necessary qualifications, licences, and approvals required to operate as a real estate agent or brokerage in the United Arab Emirates.

Developers: A Developer account may only be issued to an authorised representative of a property development company holding valid project registration (RERA in Dubai; ADREC in Abu Dhabi) for the projects associated with their account.

4.Account Registration and Security

  • You must provide accurate, current, and complete information during registration and keep it updated.
  • You are solely responsible for maintaining the confidentiality of your account credentials, including any multi-factor authentication (MFA) methods.
  • You must notify us immediately at support@valid8.ae of any unauthorised access to your account.
  • You are liable for all activity that occurs under your account.
  • We reserve the right to suspend or terminate accounts that provide false or misleading information.

5.Platform Services

The Platform provides the following services to registered users:

  • Compliance-Gated Pipeline: Stage-by-stage case management for Off-Plan and Secondary/Ready property transactions, with document and information gates that must be satisfied before a case can progress.
  • Factfind & Auto-Filled Forms: Structured buyer intake, and automatic population of reservation, booking, and other transaction forms from data already captured.
  • Document Store: Centralised storage, tracking, and expiry monitoring of buyer, seller, developer, and regulatory documents.
  • Loan and ROI Calculators: Mortgage pre-qualification and investment return estimation tools.
  • Milestone and Handover Tracking: Automated reminders for payment milestones and property handover dates.
  • Commission Tracking: Tools for recording and managing commission across cases, developers, and agents.
  • Role-Based Access: Differentiated access for Company Owners, Agents, Developers, and Data Mappers, including restricted Developer visibility limited to their own projects.

6.Agent and User Responsibilities and Regulatory Compliance

As a User of the Platform, you acknowledge and agree that:

  • You are solely responsible for obtaining appropriate consent from your clients before uploading their personal data, documents, or financial information to the Platform.
  • You must comply with all applicable UAE laws and regulations, including RERA regulations, ADREC regulations, Dubai Land Department (DLD) / Department of Municipalities and Transport (DMT) requirements, UAE Data Protection Law (Federal Decree-Law No. 45 of 2021), and Anti-Money Laundering (AML) requirements.
  • Compliance gate statuses, document checklists, calculator outputs, and any automated recommendations provided by the Platform are advisory only and do not constitute legal, financial, or regulatory advice.
  • You remain fully responsible for all advice given to your clients and all submissions made to developers, banks, or regulatory authorities, regardless of any Platform-generated outputs.
  • You must independently verify all extracted data, compliance statuses, and calculator results before relying on them or presenting them to clients, developers, or banks.
  • You must maintain your professional licence and indemnity insurance as required by UAE regulations throughout your use of the Platform.
  • Developer Users must ensure any documents or confirmations they provide through the Platform (e.g. NOCs, project registration, KYC approvals) are accurate and issued with proper authority on behalf of their development company.

7.Fees

Access to the Platform is currently provided free of charge. Valid8 does not charge subscription, licence, or usage fees at this time. If paid plans are introduced in the future, we will announce any fees at least 30 days before they take effect, and they will be quoted in AED exclusive of applicable VAT (currently 5% in the UAE).

8.Ownership and Licence

8.1 Platform IP belongs to us.

All intellectual property rights in the Platform itself — the software, AI features we have built, user interfaces, branding, documentation, and proprietary algorithms — are owned by FIKA TECHNOLOGIES - FZCO or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose during your active account.

8.2 Your data belongs to you.

You retain full ownership of all Content you upload to the Platform — including buyer and seller personal data, financial and identity documents, case notes, and any data submitted through your branded intake forms. We claim no ownership over your Content.

8.3 The licence you grant us, defined narrowly.

To run the Platform on your behalf, we need legal permission to perform specific operations on your Content. By uploading Content, you grant us a limited, non-exclusive, royalty-free licence to do only the following:

  • Store Content in our database and object storage so it persists between your sessions.
  • Display Content back to you and to other authorised users in your brokerage according to the role-based access controls you configure.
  • Process Content to extract structured data and populate compliance gates, forms, and Factfind records.
  • Transmit Content to our named sub-processors (listed at /subprocessors) strictly for the purpose of providing the Platform services to you, including to Developer Users where a case involves their project and role-scoped visibility permits it.
  • Generate derivative outputs you have requested — reservation forms, compliance summaries, audit trail exports, and similar Platform features.
  • Back up Content for business continuity and disaster recovery purposes.
  • Audit Content access for security, compliance, and dispute-resolution purposes.

8.4 What this licence does NOT permit.

This licence is operational, not commercial. We expressly do not have the right to:

  • Sell, rent, lease, or otherwise transfer your Content to any third party for value.
  • Use your Content to train, fine-tune, or improve any AI or machine learning model, whether ours or a third party's.
  • Disclose your Content to other brokerages, agents outside your brokerage, developers beyond the role-scoped visibility necessary for their own projects, or any other Platform users not explicitly authorised.
  • Use your Content for marketing, profiling, advertising, or any purpose other than providing the Platform services you have engaged.
  • Sublicense your Content to anyone other than the named sub-processors listed at /subprocessors.
  • Retain your Content beyond the retention periods set out in the Privacy Policy and the Data Processing Agreement.

8.5 Aggregated and anonymised data.

We may compute aggregated, anonymised statistics from Platform usage — for example, average time-in-stage across all brokerages, document completion rates, or calculator usage trends. Such statistics are stripped of any information that could identify you, your brokerage, your clients, or any individual case. We may use these aggregated statistics to improve the Platform and may publish them as anonymised industry insights. You agree that we may do so. If you can demonstrate that any such published statistic enables re-identification, we will withdraw it on request.

8.6 Termination of the licence.

The licence in §8.3 ends when you close your account, except where we are legally required to retain specific Content for a defined period under UAE law (see Privacy Policy §8 for retention details). On termination, we will provide an export of your Content in standard formats on request and within 30 days.

9.Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of UAE laws.
  • Upload fraudulent, falsified, or misleading documents or information.
  • Attempt to gain unauthorised access to any part of the Platform or its systems.
  • Reverse-engineer, decompile, or attempt to extract the source code of any Platform component.
  • Scrape, harvest, or systematically extract data from the Platform.
  • Use the Platform to send unsolicited communications (spam) via WhatsApp, email, or other channels.
  • Share your account credentials with third parties.
  • As a Developer User, access, view, or attempt to access case data outside your own company's projects or the Off-Plan pipeline.
  • Use the Platform in any way that could damage, disable, or impair its operation.

10.Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, FIKA TECHNOLOGIES - FZCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Accuracy or completeness of compliance gate statuses, auto-filled forms, or calculator outputs (including loan pre-qualification and ROI estimates).
  • Availability or uninterrupted operation of the Platform.
  • Property transaction outcomes, developer decisions, or regulatory approval outcomes.
  • Suitability of the Platform for any particular purpose.
  • The conduct of developers, agents, buyers, sellers, banks, or other users of the Platform.

11.Limitation of Liability

To the maximum extent permitted by applicable UAE law:

  • FIKA TECHNOLOGIES - FZCO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability for any claim arising from or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
  • We are not liable for any losses arising from reliance on compliance gate statuses, calculator outputs, or other Platform-generated outputs.
  • We are not liable for any actions or decisions taken by developers, banks, financial institutions, regulatory authorities, or other third parties.

12.Indemnification

You agree to indemnify, defend, and hold harmless FIKA TECHNOLOGIES - FZCO, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, breach of any applicable UAE law or regulation, or infringement of any third party's rights.

13.Termination

  • We may suspend or terminate your account at any time for violation of these Terms, with or without prior notice.
  • You may close your account at any time by contacting support@valid8.ae.
  • Upon termination, your access to the Platform will cease immediately.
  • Certain data may be retained after termination as required by UAE law (see our Privacy Policy for retention periods).
  • Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

14.Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-Platform notification at least 14 days before taking effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use and close your account.

15.Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, as applicable within the Emirate of Dubai and the Dubai Silicon Oasis free zone.

Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The seat of arbitration shall be Dubai, UAE. The language of arbitration shall be English.

16.Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and FIKA TECHNOLOGIES - FZCO regarding your use of the Platform and supersede all prior agreements, understandings, and communications.
